Organizational Articles of Association of the International Center for Formal Ontology

in the Faculty of Administration and Social Sciences

at the Warsaw University of Technology (WUT).

§ 1

  1. The International Center for Formal Ontology (official name) hereinafter referred to as the “Center” is an in-faculty organizational unit of the WUT which operates in the Faculty of Administration and Social Sciences, and was created pursuant to § 38.2 of the Statute of Warsaw University of Technology, hereinafter referred to as “WUT Statute”. The Center implements interdisciplinary research in the field of general and detailed ontology and their use in other scientific fields, philosophy of science, technology and industry.
  2. The aim of the Center is to carry out and stimulate the development of innovative studies from the border of humanities, sciences and technology in connection with the needs of the Warsaw University of Technology, in particular with reference to enriching the didactic process with new content.
  3. The Center is a continuation of the Lvov-Warsaw school’s philosophic tradition.
  4. Studies, research projects and didactic operations are carried out with the participation of students, post-graduate students of the Warsaw University of Technology and international scholars.
  5. The Center runs operations which organize the aforementioned research, provides information and guidance on it, promotes and popularizes it.
  6. The Center closely cooperates with other organizational units of the Warsaw University of Technology.
  7. The Center’s seat is located at the Faculty of Administration and Social Sciences of Warsaw University of Technology hereinafter referred to as the “Faculty”.

 § 2

The Center’s tasks include:

  • implementation of international research and educational programs related to the scope of the Center’s operations,
  • implementation of international grants in the scope of the Center’s operations referred to in §1 with the widest possible cooperation of students and postgraduate students,
  • development of innovative didactic methods pertaining to the research topics of the Center,
  • running of projects co-financed by non-academic institutions and other works (in-house, pertaining to development) related to the Center’s operations,
  • execution of other tasks ordered by the Rector or Dean of the Faculty related to the development of advanced forms of education and research.

 § 3

  1. The Center, adequate to the needs and owned resources, may employ staff selected through contests, on employment contracts and other civil-legal contracts who are not academic teachers of the Warsaw University of Technology. For the contests the internal regulations of the Warsaw University of Technology shall apply.
  2. Tasks listed in §2 the Center implements with the help of employees employed at the Center and indicated employees of the Faculty and other organizational units of the Warsaw School of Technology.
  3. Employment relationship with the Center’s employees is concluded and terminated by the Rector at the request of the Faculty’s Dean issued on the Director of the Center’s initiative who is referred to in §5 after asking the Faculty for its recommendation.
  4. Civil-legal agreements with persons carrying out work on behalf of the Center, within the limits of the Rector’s power of attorney, are concluded by the Faculty’s Dean on the Center’s Director application.
  5. During the implementation of its tasks the Center may use premises and didactic and research equipment of the departments and other organizational units of the Warsaw School of Technology on the basis of rules specified in the agreements concluded between these units.

 § 4

  1. The Center may conclude additional agreements to carry out research works or didactic services with the units of Warsaw University of Technology.
  2. The participation of organizational units cooperating with the Center for implementation of a given task, in particular in the costs and profits of the effects of its implementation, is agreed on in adequate agreements between the Center’s director, the Faculty’s Dean and the manager of the organizational unit of the Warsaw University of Technology and the manager of the implemented task.
  3. The Center may conclude cooperation agreements with entities from outside of the Warsaw University of Technology in compliance with the binding rules at the University and at the Faculty.

§ 5

  1. The Center is managed by a director.
  2. The Center’s Director may be a scholar who has at least the title of a PhD and who at the moment of being appointed for the position will be employed – if he/she had not been already employed by the Warsaw University of Technology – on generally binding terms full-time or part-time.
  3. The Center’s Director is appointed by the Rector on the application of the Dean after the application of the Center’s Program Board which is referred to in §8 hereinafter referred to as the “Board”. The Center’s Director may also be appointed in a competition, which is judged by a competition jury assembled by the Rector. The mode of appointing a Director is decided on by the Board on the Faculty Dean’s request.
  4. The Center’s Director is appointed for the office term of the University’s authorities. Directors may be reappointed.
  5. The Rector, after receiving the Board’s and the Faculty’s Dean’s opinion, may recall the Center’s Director for violation of WUT’s Statute before the termination of his/her term.
  6. The Center’s Director is responsible to the Faculty’s Dean for the Center’s functioning.        

§ 6

  1. The Director has the following duties:
  • initiating and developing the Center’s activities as part of its tasks and taking care of the appropriate level of these tasks;
  • preparing the Center’s didactic offer and presenting it to the Board;
  • representing the Center outside of the University;
  • managing the financial resources of the Center;
  • preparing the Center’s operational reports for the Faculty’s Dean;
  • preparing the Center’s schedules of works and expenditures as approved by the Faculty’s Dean and submitted to the Faculty’s Board as part of the Faculty’s schedule of works and expenditures;
  • signal to the Faculty’s Dean the need to conclude agreements to carry out research works and services with external vendors
  • indicate to the Faculty’s Dean the need to conclude additional agreements to carry out research works and services with organizational units of the Warsaw University of Technology
  • make decisions pertaining to co-operation in terms of didactic operations with departments and other organizational units of the Warsaw University of Technology with the Dean of the Faculty’s permission;
  • setting out the range of duties for the Director’s deputy;
  • applying to the Faculty’s Dean with all issues pertaining to the Center, in particular on the temporary hiring of visiting professors at the Faculty and the University;
  • taking decisions in all issues pertaining to the Center not reserved for the competences of the University’s units or the chancellor.
  1. The Center’s Director is the direct superior of all employees of the Center.
  2. The Center’s Director may express his opinion on the performance of academic teachers who participate in the implementation of the Center’s endeavors, in particular the ones related to the implementation of the Center’s didactic offer.
  3. The Center’s Director files annual reports of the Center’s operation with the Faculty’s Dean, who is his direct superior, not later than by the end of June. This rule does not apply to the first year of the Center’s operations.    

§7

  1. The Rector, at the request of the Center’s Director and the Faculty’s Dean, after obtaining the opinion of the Board and the Faculty’s Board appoints – not more than two – deputies of the Center’s Director to work full time or part -time.
  2. The Center Director’s Deputy may be a person who holds at least a PhD degree.
  3. The remuneration of the Center’s Director and his/her deputies and the Center’s employees are established by the Rector on the basis of the binding rules at the University.

§8

  1. Center Program Board operates in the Center.
  2. The Board is called up by the Rector on the application of the Faculty’s Dean, the opinion of which is issued by the Faculty’s Board out of the Center Director’s initiative, who submits a proposal of the Board’s make-up for the term which is compliant with the tenure of the University’s board save for §9.1.5 and 6 below.

§9

  1. The Board consists of:
  • Center’s Director;
  • Center Director’s deputy;
  • the Faculty’s Dean;
  • a representative of the Faculty’s Board;
  • representatives of other faculties which participate in the operations of the Center, one from each faculty, for the duration of the implementation of these tasks;
  • representatives of international research institutions participating in the implementation of the Center’s tasks, one from each institution, for the duration of the implementation of these tasks;
  • professionals employed in different scholarly institutions in a number not larger than 5;
  • other persons invited by the Board’s chairman or by at least three other Board members may participate in the Board meetings in an advisory capacity;
  • the Board may hold meetings in the attendance of at least half of its personnel.
  1. During the organizational period of the Center until the Center’s director and his/her deputies are appointed, the Board may act with less than complete personnel.
  2. The Board elects the Board’s chairman from its members. The Center’s Director may hold the function of the Board’s chairman.
  3. The Board’s chairman is elected by secret ballot with a plurality vote. Persons who do not participate in the ballot are not allowed to participate in the elective meeting.
  4. After the election is completed the Board members hand over the results to the Rector.
  5. The Rector approves the Board chairman candidate indicated by the Board with no delay.

§10

The Board’s responsibilities include:

  • resolutions of the didactic offer and teaching programs in the didactic operations of the Center which are submitted to the Faculty’s board;
  • evaluation of the didactic process and organizational activity of the Center;
  • issuing opinions on the Center Director’s reports pertaining to the operation of the Center;
  • expressing opinions in other issues related to the Center in cases otherwise unspecified in this Articles of Association;
  • evaluation of projects and results of works supporting the research carried out in the Center;
  • evaluation of the programs and plans of the Center’s operation prepared by the Center’s Director;
  • expressing opinions on the Center Director’s annual reports pertaining to the operation of the Center.

§11

  1. Within the Center, other organizational units may be created, including departments, sections and teams and independent work posts necessary to implement the Center’s tasks.
  2. The organizational structure of the Center is established by the Faculty’s Dean on the application of the Center’s director.
  3. The directors of the organizational units of the Center are called up and recalled by the Center’s director (§ 95 of WUT Statute).

§12

  1. After achieving financial independence the Center’s property may be separated from the Faculty’s property.
  2. The Center’s activity is financed with the resources granted by the Faculty’s Dean (during the organization term), grants, donations, participation in profits from implementing proprietary copyrights and profits obtained for services rendered and additional subsiding obtained from external resources, as well as administrative cost allowances, scheduled as part of international programs and other resources.
  3. The Center has assigned costs and profits.
  4. The Center manages the assigned resources in accordance with the binding regulations and the University institutions’ agreements.
  5. Financial settlements of the Center are done by the Registrar’s attorney in fact at the Faculty.
  6. Administrative support of the Center until the Center obtains financial resources from external resources is to be provided by the Faculty.

§ 13

Any amendments hereto may be done by the Rector after obtaining an opinion of the Faculty’s board and the Warsaw University of Technology Senate.

§14

All matters not provided for in this Articles of Association are subject to the provisions of the Higher Education Law Act, the Statute of Warsaw University of Technology and the decision and resolutions of the Rector of the Warsaw University of Technology, resolutions of the University’s Senate and acts of the intradepartmental law respectively.
